Terms of Service
SCA — Sidibe Corporate Alliance
Effective date: 25 Oct 2025
These Terms of Service (the “Terms”) form a binding agreement between Sidibe Corporate Alliance (“SCA”, “we”, “us”, or “our”) and the entity or individual that purchases, accesses, or uses our services (“Client”, “you”, or “your”). By placing an order, signing a proposal, or using our website/store, you agree to these Terms.
If you purchase through a marketplace (e.g., Chariow, Upwork, Fiverr), the marketplace’s terms apply in addition to these Terms. If there is a direct conflict, the order of precedence is: (1) a signed Master Services Agreement or Statement of Work between you and SCA, (2) these Terms, (3) the applicable marketplace terms.
1. Services & Orders
1.1 Scope. Our offerings include on‑ground market research, marketing and influencer activation, sales enablement and client management, lead generation and appointment setting, translation/localization, business development and partner sourcing, and compliance‑minded advisory (including Mali gold‑export advisory) as described on our website/store or in an agreed proposal (collectively, the “Services”).
1.2 Ordering. An order is formed when you (a) check out on a marketplace/store, (b) accept a proposal/quote, or (c) sign a Statement of Work (an “Order”). Each Order states the scope, price, deliverables, and timeline.
1.3 Changes. Any change to scope (additional interviews, countries, assets, channels, or major creative direction) requires written confirmation and may change fees/timelines.
2. Client Responsibilities
2.1 Inputs & Access. You will provide timely information, approvals, and access (e.g., brand assets, interviews, market contacts, CRM/ads access) needed to perform the Services. Delays in inputs extend timelines.
2.2 Accuracy & Legality. You warrant that materials you provide are accurate, lawful, and do not infringe rights of others. You remain responsible for your own legal, regulatory, and tax compliance (including KYC/KYB, licensing, sanctions, and sector‑specific rules).
2.3 Acceptable Use. You will not ask SCA to engage in spam, unlawful scraping, misleading advertising, manipulation, or any prohibited or deceptive practice.
3. Fees, Taxes & Expenses
3.1 Fees. Fees are stated in the Order. Unless otherwise specified, deposits are due to start and balances are due upon delivery and prior to final handover.
3.2 Taxes. Prices exclude taxes. You are responsible for applicable taxes, duties, and withholding.
3.3 Third‑Party Costs. Media spend, paid data sources, software subscriptions, travel, studios, and on‑site logistics are not included unless expressly stated and will be pre‑approved.
4. Deliverables, Revisions & Acceptance
4.1 Deliverables. We will deliver the items set out in the Order (e.g., findings deck, CSV lead list, scripts, sequences, dashboards, reports, creative assets).
4.2 Revisions. Unless stated otherwise, fixed‑scope packages include two (2) revision rounds within seven (7) days of delivery. New features/markets or major creative changes are out of scope.
4.3 Acceptance. A deliverable is accepted when you confirm in writing or after seven (7) days from delivery if no material issues are raised with specific, actionable feedback.
5. Intellectual Property & Licenses
5.1 Client Materials. You grant SCA a non‑exclusive license to use your trademarks, content, data, and accounts solely to provide the Services. You retain all rights in your materials.
5.2 SCA Deliverables. Upon full payment, you receive a worldwide, perpetual license (or assignment if stated in the Order) to use the final deliverables created specifically for you. SCA retains ownership of methodologies, processes, know‑how, and pre‑existing materials; we license these as necessary for you to use the deliverables.
5.3 Feedback. Suggestions or feedback you provide may be used by SCA without restriction or obligation.
6. Confidentiality & Data Protection
6.1 Confidentiality. Each party will protect the other’s non‑public information with reasonable care and use it only for the engagement. NDAs are available upon request.
6.2 Privacy. Our handling of personal data is described in the Privacy Policy posted on our website/store. When SCA processes personal data on your behalf, you are the controller and remain responsible for providing any required notices and obtaining any required consents.
7. Subcontractors & Partners
SCA may use vetted subcontractors and network partners to perform portions of the Services. SCA remains responsible for overall delivery and quality.
